1. Introduction

Welcome to The Friendly PARTNER. These Rules and Regulations (“Terms”) govern your use of our website https://tfpartner.trade/(the “Website”), our software toolkit The Friendly PARTNER, and any related services provided by TFP Software FZCO (“we,” “us,” “our”).

By accessing our Website, downloading, installing, or using our software, or participating in our Partner Program, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website, software, or services.

These Terms apply globally to all users, regardless of their country of residence or location. While we have taken steps to address the specific legal requirements of the jurisdictions where we primarily operate (including the United Arab Emirates, the Kingdom of Saudi Arabia, the State of Qatar, the State of Kuwait, the Kingdom of Bahrain, the Sultanate of Oman, the Hashemite Kingdom of Jordan, the Arab Republic of Egypt, the Kingdom of Morocco, the Republic of Tunisia, and the People's Democratic Republic of Algeria), these Terms are intended to be enforceable against any user, anywhere in the world, to the fullest extent permitted by applicable law.

If you are located in a jurisdiction where these Terms (or any part of them) are prohibited by local law, you must not access or use our Website or services.

3. Acceptance of Terms

By using our Website and services, you confirm that:

  • You are at least 18 years old (or the age of majority in your jurisdiction);
  • You have the legal capacity to enter into a binding agreement;
  • All information you provide to us is true, accurate, and complete;
  • You will use our software and services solely for your own trading and educational purposes, and not for resale, sub-licensing, or provision of software services to third parties, unless otherwise agreed in writing;
  • You will not use our software for any unlawful or prohibited purpose;
  • You acknowledge and agree that these Terms are governed by the laws of the United Arab Emirates, and you consent to the exclusive jurisdiction of the courts of the United Arab Emirates for any disputes arising from these Terms or your use of our services.

4. Software License

4.1 Grant of License

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to use The Friendly PARTNER software toolkit for your personal trading purposes.

Your licence covers you as an individual, not a single device or a single trading account: one active subscription validates the software on every MetaTrader account you have registered to your account with us, up to the maximum of three (3) accounts.

4.2 License Restrictions

You may not:

  • Copy, modify, distribute, reverse-engineer, decompile, or disassemble the software;
  • Use the software for any commercial purpose without our prior written consent;
  • Rent, lease, lend, sublicense, or transfer the software to any third party;
  • Use the software in any way that violates applicable laws or regulations;
  • Use the software to harm, harass, or defraud any person or entity.

We record the IP addresses from which your licence is validated in order to detect licence sharing, as described in our Privacy Policy. Accounts showing signs of shared use are reviewed by a member of our team.

4.3 Intellectual Property Rights

The software, including all intellectual property rights therein, is and remains our exclusive property. You acknowledge that you do not acquire any ownership rights in the software by using it. Any unauthorized use of the software may violate intellectual property laws and will result in immediate termination of your license.

4.4 Software License under Saudi Law

In accordance with the Saudi Copyright Law, which comes into force in August 2026, software licenses are expressly enforceable as a matter of statute. The Saudi law provides strengthened legal protection for software and digital content, and we reserve all rights to enforce our intellectual property rights under this law.

4.5 Global Intellectual Property Protection

We assert our intellectual property rights globally and will take all necessary legal action to protect our software and brand from unauthorized use, copying, or distribution anywhere in the world.

5. Registration and Account

5.1 Account Creation

To use The Friendly PARTNER you must create an account with your email address and a password, and confirm your email address before you can sign in.

In your dashboard you then declare the account holder name exactly as it appears on your MetaTrader account, and add the MT4/MT5 account number(s) you want the software to run on. The information you provide must be true, accurate, and kept up to date — the name you declare is compared with the name your trading platform reports when the software validates your licence, and a mismatch will prevent the software from validating until the two agree.

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to your account.

5.3 One Account per Person, One Trial per MetaTrader Account

Each user may hold only one account with us. Each MetaTrader account number may be registered to only one user, and may receive the free trial only once, ever — we keep a permanent record of every account number that has been granted a trial, and that record is retained even if the user account it belonged to is deleted.

Attempting to claim a second trial by registering an account number whose trial has already been used will end any free trial you currently hold and will prevent you from adding further MetaTrader accounts until you hold a paid subscription. Any attempt to create multiple accounts or otherwise abuse the free trial may result in termination of all accounts and forfeiture of any subscription rights.

6. Trial and Subscription

6.1 Free Trial

We offer a 29-day free trial of The Friendly PARTNER. The trial begins once you have both declared your MetaTrader account holder name and added at least one MT4/MT5 account number in your dashboard — whichever of the two you complete second is the moment the trial starts. Adding an account without declaring your holder name does not start the trial.

The trial covers both plans, requires no payment details, and expires automatically at the end of the 29 days with no charge. We will email you when it begins.

6.2 Subscription Plans

You may subscribe to a paid plan at any time — during your free trial or after it has ended. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

If you subscribe while a free trial is still running, billing begins immediately on subscribing and any unused trial days do not carry over. This is stated on the Pricing page at the point of purchase.

6.3 Pricing and Payment

All prices are displayed on our Pricing page and are shown in US dollars. Prices vary by country: the amount you are charged is determined at checkout by our payment provider based on your location, and is shown to you in full before you confirm the purchase.

We reserve the right to change our prices at any time. However, if you subscribe during our launch pricing period, any pricing guarantees (including “launch pricing”) that are expressly stated on our Pricing page will apply to your subscription for as long as you remain an active subscriber. Any price changes will be communicated to you at least 30 days in advance.

Payments are processed by Paddle, which acts as Merchant of Record for your purchase. Your invoice is issued and emailed by Paddle. We never see or store your card details.

6.4 Cancellation

You may cancel your subscription at any time, yourself, from your dashboard: Subscriptions → Cancel plan. Cancellation takes effect immediately upon confirmation — no request, approval or contact with us is required, and you will not be charged again.

Upon cancellation, your access continues until the end of the billing period you have already paid for, and is not renewed. Your dashboard shows the date on which your access ends, and we send you an email confirming it.

You may also cancel using the subscription-management link in the invoice email sent to you by Paddle, our payment provider, or by contacting us through the Contact page if you would prefer we do it for you.

7. Consumer Rights and Disclosures

7.1 Transparency

We are committed to providing clear and accurate information about our products and services. On our Website, we disclose:

  • Our company name, legal form, and contact details;
  • A clear description of our software and its features;
  • The price of our software, including all applicable fees and taxes;
  • The terms and conditions of our free trial and subscriptions;
  • Our refund and cancellation policies.

7.2 Right to Withdraw (Cooling-Off Period)

In accordance with consumer protection laws in various jurisdictions where we operate, you may have the right to withdraw from your subscription contract within a specified period:

  • UAE: Under Federal Decree-Law No. 14/2023 on Trading by Modern Technological Means, you have the right to cancel within the cooling-off period as specified by law, provided you have not fully consumed the service. For digital software, the right of withdrawal may not apply once the software has been downloaded and activated;
  • KSA: Under the Saudi E-Commerce Law, consumers have the right to return products within 7 days if unused;
  • Kuwait: Under Decree Law No. 10/2026, consumers have a 14-day contract withdrawal right for products returned in original condition;
  • EU and other jurisdictions: Where applicable, you may have a 14-day cooling-off period for distance contracts, subject to the exemptions for digital content.

Important

Due to the nature of digital software, the right of withdrawal may be limited once you have downloaded and activated The Friendly PARTNER. In most jurisdictions, the right of withdrawal does not apply to digital content that has been supplied or accessed with your prior consent, or where the service has been fully performed. This is consistent with the exemption for software products under Article 7 of the Saudi E-Commerce Law and similar provisions in other jurisdictions. You expressly acknowledge and agree that by downloading, installing, or activating the software, you lose your right of withdrawal under applicable consumer protection laws. Please contact us if you have any questions about your cancellation rights.

Our 29-day free trial is offered so that you can evaluate the toolkit in full before paying anything.

7.3 Refund Policy

If you are not satisfied with The Friendly PARTNER, you may cancel your subscription at any time. Our full Refund Policy sets out when a refund applies, how the free trial affects your rights, and how to request one — including the technical-evaluation procedure for suspected defects. Refunds are provided in accordance with applicable law:

  • UAE: Consumers are entitled to refunds for defective, damaged, or misdescribed goods or services;
  • KSA: Clear return and exchange policies must be disclosed to consumers;
  • General: Refunds are at our sole discretion unless otherwise required by law in your jurisdiction.

8. Partner Program

8.1 Participation

Our Partner Program is open to any individual who can bring new clients to The Friendly PARTNER. Partners act as marketing referrers only and are not software sellers. Joining requires a free account and acceptance of the Partner Program terms; it does not require you to hold a subscription of your own.

8.2 Partner Obligations

Partners must:

  • Promote The Friendly PARTNER using only the correct terms: “trading toolkit,” “precision execution panel,” “breakout context detector”;
  • Always use the correct brand name: “The Friendly PARTNER”;
  • Submit any custom promotional materials for approval before publishing;
  • Comply with applicable laws and regulations, including licensing requirements for promotional content in their jurisdiction.

8.3 Partner Limitations

Partners:

  • Are not involved in selling software, collecting payments, or processing transactions;
  • Do not receive payment directly from clients;
  • Do not represent themselves as employees or agents of TFP Software FZCO;
  • Must not promise guaranteed profits or specific returns;
  • Must not describe The Friendly PARTNER as a “signal service,” “trading bot,” or “automated system”;
  • Must comply with all applicable laws in their jurisdiction, including local advertising and licensing requirements.

All commercial contracts, billing, payment collection, and technical support are provided exclusively by TFP Software FZCO; partners are never parties to any sale of the software.

8.4 Commission

Partners earn a recurring commission on every active client they refer. Commission is paid monthly for as long as the client remains an active subscriber. Commission rates are 25% standard and 30% enhanced (for partners with 50 or more active direct clients).

Balances below the minimum payout threshold roll over to the following month. Full terms — including the payout threshold, payout methods, and the forfeiture of accrued and future commission where a partner is excluded for misconduct — are set out on the Partner Program page and are accepted when you join.

9. Prohibited Conduct

You agree not to:

  • Use our Website or software for any unlawful purpose;
  • Engage in any activity that could harm, disable, or impair our Website or software;
  • Attempt to gain unauthorized access to our systems or other users' accounts;
  • Upload or transmit any viruses, malware, or other harmful code;
  • Violate any applicable laws or regulations;
  • Misrepresent your identity or affiliation with any person or entity;
  • Use our software for any commercial purpose without our prior written consent;
  • Use our software in any jurisdiction where such use would violate local law or regulation.

10. Disclaimer of Warranties

10.1 “As Is” Basis

THE FRIENDLY PARTNER SOFTWARE AND WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Profit

TRADING INVOLVES RISK OF LOSS. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS. THE FRIENDLY PARTNER IS A TOOL TO ASSIST DECISION-MAKING, NOT A GUARANTEE OF PROFIT. WE DO NOT PROVIDE FINANCIAL ADVICE, AND YOU SHOULD CONSULT WITH A QUALIFIED FINANCIAL ADVISOR BEFORE MAKING ANY TRADING DECISIONS. THE FRIENDLY PARTNER IS AN INDEPENDENT SOFTWARE TOOLKIT AND IS NOT AFFILIATED WITH, SPONSORED BY, OR ENDORSED BY ANY BROKER, TRADING VENUE, OR BY METAQUOTES SOFTWARE CORP.

10.3 Technical Limitations

While we strive to ensure our software is accurate and reliable, we do not warrant that the software will be error-free, uninterrupted, or compatible with all systems and devices. All-Aligned Logic is available exclusively on MT5 due to platform security requirements, and we make no warranties regarding its availability or performance on MT4.

10.4 Country-Specific Disclaimers

  • For users in the UAE: This disclaimer complies with the requirements of Federal Law No. 15/2020 on Consumer Protection and Federal Decree-Law No. 14/2023 on Modern Technology-Based Trade;
  • For users in the KSA: This disclaimer complies with the Saudi E-Commerce Law and the Saudi Copyright Law;
  • For users in the UK: Your statutory rights are not affected by this disclaimer;
  • For users in the USA: This disclaimer does not limit any rights you may have under applicable state or federal consumer protection laws.

11. Limitation of Liability

11.1 Exclusion of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR TRADING OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE FRIENDLY PARTNER SOFTWARE OR WEBSITE.

11.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT IN THE CASES EXPRESSLY EXCLUDED FROM SUCH LIMITATION IN THESE TERMS.

11.3 Consumer Rights

NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS AS A CONSUMER UNDER APPLICABLE LAWS IN YOUR JURISDICTION. THESE TERMS SHALL NOT EXCLUDE OR LIMIT OUR LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM OUR NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11.4 Multi-Jurisdictional Limitation

These limitations apply to the maximum extent permitted by law in your jurisdiction. If any jurisdiction does not allow the exclusion or limitation of liability as set forth above, the liability of TFP Software FZCO shall be limited to the maximum extent permitted by law in that jurisdiction.

12. Data Protection and Privacy

Our use of your personal data is governed by our Privacy Policy and Cookies Policy, which are incorporated into these Terms by reference. By using our Website and software, you agree to our collection, use, and processing of your personal data as described in these policies.

In accordance with the UAE Consumer Protection Law and other applicable data protection laws, we will protect your privacy and data security and will not use your personal data for promotional or marketing purposes without your prior consent.

If you are located in a jurisdiction with specific data protection requirements (including but not limited to the EU GDPR, UK GDPR, KSA PDPL, or other laws), we process your data in accordance with the principles set out in our Privacy Policy.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. This applies to all users, regardless of their country of residence or location.

13.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved as follows:

  • 13.2.1 Informal Resolution: We encourage you to contact us first to resolve any dispute informally. Most disputes can be resolved quickly and amicably through our support channels.
  • 13.2.2 Formal Resolution: If the dispute cannot be resolved informally, it shall be referred to and finally resolved by the competent courts of the United Arab Emirates.

13.3 Regional Considerations

  • Kuwait: Under Decree Law No. 10/2026, specialized committees have been established to handle violations and disputes arising from digital commerce.
  • Saudi Arabia: Under the Saudi E-Commerce Law, disputes are resolved by committees established by the Ministry of Commerce, with decisions subject to appeal before the competent administrative court.
  • UAE: Under Federal Decree-Law No. 14/2023, the Ministry of Economy is responsible for protecting consumer interests in digital transactions and may issue terms and conditions to achieve this objective.

13.4 Other Jurisdictions

For users located in jurisdictions other than those listed above, you agree that these Terms shall be governed by UAE law, and you agree to submit to the exclusive jurisdiction of the courts of the UAE. By using our services, you waive any claim that UAE law is not the appropriate governing law, or that the courts of the UAE are not the appropriate forum for any disputes.

13.5 Mandatory Local Laws

Nothing in this section shall prevent you from relying on mandatory consumer protection laws in your jurisdiction that cannot be waived by contract.

14. Compliance with Regional Regulations

14.1 Kuwait E-Commerce Registration

Under Decree Law No. 10/2026, all online sellers operating in Kuwait must be registered with the Ministry of Commerce and Industry. We are actively monitoring these requirements and will ensure compliance as they become applicable to our operations.

14.2 Saudi Arabia E-Commerce Law

Under the Saudi E-Commerce Law (Royal Decree M/126), merchants must provide consumers with specific disclosures, including their contact information and commercial registration details, and respect consumers' rights to return goods within 7 days.

14.3 UAE Modern Technology-Based Trade

Under Federal Decree-Law No. 14/2023, businesses engaging in modern technology-based trade must:

  • Obtain necessary approvals, permits, and licenses;
  • Provide a technically safe environment for transactions;
  • Sell only legally permitted goods or services;
  • Determine and publicly disclose the terms and conditions of sales;
  • Provide a detailed non-paper invoice.

14.4 Consumer Protection (UAE)

Under Federal Law No. 15/2020 on Consumer Protection, suppliers must protect consumers' privacy and data security, provide accurate information, settle disputes promptly, and provide invoices that include the trade name, address, type of goods or services, price, and quantity.

14.5 Omani Data Protection

Under Oman's Personal Data Protection Law (Royal Decree No. 6/2022), transfers of personal data outside Oman are subject to specific conditions. We rely on the safeguards described in our Privacy Policy for all international transfers, and where the law of your jurisdiction requires your explicit consent for a transfer, we obtain it.

14.6 General Compliance Statement

We are committed to complying with all applicable laws and regulations in the jurisdictions where we operate. If you believe that any provision of these Terms does not comply with the laws of your jurisdiction, please contact us immediately.

15. Termination

We may suspend or terminate your access to our software and services at any time, with or without notice, if:

  • You breach any provision of these Terms;
  • We reasonably believe your conduct may cause harm to us, our users, or third parties;
  • We are required to do so by law.

Upon termination, your license to use the software will immediately cease, and you must cease all use of the software.

16. Changes to These Terms

We may revise these Terms from time to time. The “Last Updated” date at the top indicates when the latest changes were made. If we make material changes, we will notify you through our Website, your dashboard, or via email. Your continued use of our services following any changes constitutes your acceptance of the revised Terms.

18. General Provisions

  • 18.1 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

  • 18.4 Assignment: You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign or transfer these Terms without restriction.
  • 18.5 International Enforceability: These Terms are intended to be enforceable to the fullest extent permitted by applicable law in all jurisdictions. If any provision of these Terms is found to be unenforceable in a particular jurisdiction, that provision shall be construed in a manner consistent with applicable law to reflect the original intent of the parties, and the remainder of the Terms shall remain in full force and effect in that jurisdiction and all other jurisdictions.
  • 18.6 No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights in any individual or entity not a party to these Terms.
  • 18.7 Language: These Terms are drafted in English. If a translated version is provided for convenience, the English version shall prevail in the event of any conflict or inconsistency.

19. Terminology in Video Guides & Historical Footage

19.1 Terminology Update

The Friendly PARTNER software toolkit has undergone a terminology update to ensure clarity and compliance with applicable regulations in various jurisdictions. The following feature names have been revised:

19.2 Video Guides & Historical Footage

Our Video Guides, available on our Website, include screen recordings and visual demonstrations that may display the previous terminology in certain images, settings tables, or Info Window displays. Please note:

  • The updated terminology is the current and accurate version. All feature names in the live software toolkit reflect the updated names listed above.
  • The Video Guides are educational and historical. They were recorded at different stages of the software's development and may contain screen captures that show previous versions of the interface, including the old terminology.
  • The information provided in the voiceover and narration is the authoritative source. In the event of any discrepancy between the visual display in the Video Guides and the verbal explanation provided by Sage AI, the verbal explanation shall prevail.
  • All references to “Signal” or “Signals” in the Video Guides refer exclusively to “Breakout Alerts” or “Breakout Confirmations.” The toolkit does not provide trading signals, entry signals, or any form of trading recommendation.
  • The software's Settings Table and Info Window in the live version are accurate and up-to-date. Any visual difference between the Video Guides and the live software is due to the use of historical footage for educational purposes.

19.3 No Entry Signals

For the avoidance of doubt, The Friendly PARTNER does not provide entry signals, trading signals, or any form of trading recommendation. All alerts generated by the Context ID Workflow are breakout alerts — they indicate that a market condition (squeeze breakout) has been identified. The trader is solely responsible for all trading decisions, including entry, exit, and risk management.

20. Client Communications

20.1 Service Communications

As part of providing you with access to and support for The Friendly PARTNER software, we may send you service-related communications. These are sent to help you set up, configure, and use the toolkit effectively and may include:

  • Setup guides and installation instructions
  • Configuration tips and best practices
  • Technical support and troubleshooting assistance
  • Updates about the toolkit's functionality or performance
  • Proactive outreach to ensure you are using the toolkit correctly
  • Community engagement messages

20.2 Essential Service Communications

Certain service communications are essential to the performance of our contract with you and to comply with legal obligations. These include, but are not limited to, notifications regarding:

  • Email address verification and password resets
  • Trial start and expiry
  • Subscription renewal and payment confirmations
  • Security alerts
  • Critical technical updates affecting the functionality of the toolkit
  • Changes to these Terms or our Privacy Policy

You cannot opt out of essential service communications.

20.3 Non-Essential Service Communications

Non-essential service communications are helpful but not strictly necessary for the core service. These may include educational content, community engagement messages, or proactive outreach to help you improve your use of the toolkit.

You may opt out of these at any time by switching off Product updates and offers under Account details in your dashboard, or by clicking the unsubscribe link included in any such email. Opting out will not affect your receipt of essential service communications.

20.4 Marketing Communications

We may use your contact details to send you information about our products, services, and other communications that may be of interest to you.

We will only send you marketing communications where you have provided your explicit, prior consent. You are presented with a clear, unchecked opt-in checkbox on our sign-up form, which is separate from these Terms and Conditions.

You may withdraw your consent at any time by:

  • Clicking the unsubscribe link included in marketing emails
  • Updating your communication preferences within your dashboard
  • Contacting us using the details provided in Section 17 (Contact Us)

20.5 Privacy Policy

Our collection, use, and protection of your personal data in connection with these communications is governed by our Privacy Policy, which is incorporated into these Terms by reference.
